Including drafting shareholder and share/ asset sale and purchase agreements; and commercial agreements; corporate and shareholder disputes; dealing with regulatory authorities; corporate and corporate secretarial work; advisory work; initial public offerings; notifiable transactions and mergers and acquisitions

Employment

Acting and advising on all aspects of employment contracts, including redundancy; restrictive covenants; discrimination, fraud and commercial crimes involving the Commercial Crimes Bureau or the ICAC:

Financial regulatory and securities

Including advising on contentious and non-contentious regulatory issues in the financial services and securities sectors; Providing legal advice on key current issues including governance, diversity and stakeholder engagement. Representation and advice on regulatory investigations including corruption, market misconduct and regulatory disciplinary action matters; Non-contentious regulatory advice ranging from compliance and governance reviews, diversity and sustainability issues, stakeholder engagement, stewardship and shareholder management issues, and board matters including board evaluations.

Insolvency

Including voluntary and compulsory liquidations; corporate restructure; and acting for creditors, insolvent companies and liquidators/ receivers including the largest liquidations in Hong Kong history such as Akai Holdings Ltd, Yaohan Holdings Ltd and Carrian Holdings Ltd.

Insurance and Professional Negligence

Including acting for claimants, brokers, insureds or insurers; and making or defending claims against accountants, stock brokers and surveyors. We have acted for major accountancy and law firms, directors, surveyors, brokers and underwriters.

Intellectual Property

Including trademark & copyright infringement; obtaining injunctions; trade mark registrations; and disputes with Hong Kong Customs & Excise Department

International and Domestic Arbitrations & Mediations

Including international trade, sale & carriage of goods, cargo claims and construction disputes, acting as advocate or mediator or arbitrator. We were appointed Mediator for Lehman on commercial & property cases; acted for contractors in construction mediations and have handled various construction and commodities arbitrations.

Notarial

We also carry out notarial and legalization work for law firms, banks insurers and hedge funds and private clients.
