Mr. Firmus C.S. FUNG is a solicitor with over 26 years of experience and joined the firm as a partner as of 1 December 2018. Firmus’ areas of practice mainly cover corporate finance, commercial, restructuring, mergers and acquisitions, and private jet.
Education / Qualifications
Firmus graduated from The University of Sydney, Australia with Bachelor Degrees in both Economics and Laws and obtained a Postgraduate Certificate in Laws from the University of Hong Kong. He has been admitted as a solicitor in Hong Kong, New South Wales of Australia and England and Wales. Firmus is also a CPA in Australia (non-practising). He speaks fluent Cantonese, English and Putonghua. He has been a member of the National Business Aviation Association since 2006.
Firmus joined Baker & McKenzie in 1990 as a trainee solicitor and was qualified as a solicitor there. He then moved to Kwok & Yih in 1994 and was promoted to partnership in 1995. He has been a partner with two other firms before joining Andrew W.Y. Ng and Co.
Firmus has been a mentor of Distinguished Professional Mentor (DPM) Programme of The Chinese University of Hong Kong since 2008. He is the honorary legal advisor of a non-profit knowledge management organization in Hong Kong and was also the honorary legal advisor of the Pastoral Council of a Catholic Parish Church from 2002 to 2004 and a Catholic laity community from 2000 to 2009.
Firmus has been invited to speak on various topics in his practice areas, including “Verification Exercise”, “Reorganization for Listing” and “Continuous Obligations of Directors in Listed Companies” in Hong Kong, Shenzhen, Guangzhou, Shenyang, Changchun, Luoyang and Shanghai.

Firmus has acted for many companies, sponsors and underwriters in initial public offerings of H shares of PRC registered companies and overseas registered companies on the Main Board of The Stock Exchange of Hong Kong Limited and GEM.
He has represented many of Hong Kong listed companies in transactions such as appointment of receivers, very substantial acquisitions, major transactions, connected and continuing connected transactions and discloseable transactions under the Main Board and GEM Listing Rules, takeovers, secondary fund-raising exercise such as open offer, rights issue, issue of redeemable preference shares and convertible loan notes, share placement and subscription, bonus issue of shares and warrants, work-outs and debt restructuring, and application for various types of licences to carry out regulated activities under the Securities and Futures Ordinance.
Firmus also handles commercial transactions for reputable local companies,including telecommunication companies, private jet companies, investment companies, as well as U.S. based and German based multi-national corporations.
